TERMS AND CONDITION OF SERVICES FOLLOWING SUBSCRIPTION

BACKGROUND:

  1. These terms and conditions set out on which requested services are accessed following Subscription, these provided by  Us to business or private clients You offered via our website, www. cadr.uk (“Our Site”).

  2. These Terms cover the requirement of new customers to be  of subscribers first  to access  specific  Consultancy advice regarding adjudication ADR or similar, being non-resource, or self-funded

  3. Subscriptions have no transferable or redeemable cash value bar the access to exclusive financial opportunities to a similar of the equivalent benefit.

Definitions and Interpretation

In these Terms of Sale, unless the context otherwise requires, the following expressions have the following meanings:

  1. “Construction Claim Consultant   means the adviser/consultant or another individual who presents and interacts with You post subscription.

  2. “Contract” means a contract between Us and You for the free purchase of a Subscription only that allows at our discretion  You to access any Paid Services after that as requested

  3. “Subscription” means a subscription to Our Site to use freely and affords You access to client benefits and  paid consultancy service at preferential rates, these being

  1. one or more paid services of any ADR at reduced hourly rates

  2. one or more non-recourse introductions to 3rd party funders

  3. one or more win no-fee opportunities

  4. Adjudication ATE insurance at preferential rates.

  1. “We/Us/Our” means ciber limited a company registered in England providing construction consultancy services

  2. “You” means the business or private client which sets up a subscription, and then accesses, or requests any Paid Services.

  2. Access to Our Site is provided “as is” and “as available”.  We may alter, suspend or discontinue Our Site (or any part of it) at any time and without notice.  We will not be liable to You in any way if Our Site (or any part of it) is unavailable at any time and for any period.

Our Liability

We will not be liable to You, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of business, interruption to business, or for any loss of business opportunity, or any indirect or consequential loss arising out of or in connection with any contract between You and Us.

  2. Our total liability to You for all other losses arising out of or in connection with any contract between You and Us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be zero of the total sums paid by You under the contract in question, whichever is the more significant sum.

Events Outside of Our Control (Force Majeure)

  1. We will not be liable for any failure or delay in performing Our obligations where that failure or delay results from any cause beyond Our reasonable control.  Such causes include, but are not limited to: power failure, internet service provider failure, strikes, lock-outs or other industrial action by third parties, riots and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual or preparations for war), epidemic or other natural disasters, or any other similar or dissimilar event or circumstance that is beyond Our reasonable control.

Law and Jurisdiction

  1. These Terms of Sale and the relationship between You and Us (whether contractual or otherwise) shall be governed by and construed following English law.

  2. Any disputes concerning these Terms of Sale, or the relationship between You and Us (whether contractual or otherwise) shall be subject to the [non-] exclusive jurisdiction of England and Wales courts
